Terms of Service

1. Agreement to terms
These Terms of Service (“Terms”) form a binding agreement between you and stored (“stored”, “we”, “us”) governing your access to and use of the stored application, APIs, and marketing site (the “Service”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated by reference.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Service.
2. The service
stored is a hosted, multi-tenant control plane for the open-source agentwiki memory engine. It lets your agents store and retrieve memory and lets your team browse, search, and edit that memory. The Service is under active development, and we may add, change, deprecate, or remove features over time.
3. Accounts and organizations
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You agree to provide accurate account information and to keep it up to date.
You are responsible for your organization, its members and their roles, and for all activity that occurs under your account. You must keep your password and API keys confidential; keys are shown once and stored hashed. Notify us promptly of any unauthorized use of your account.
4. Acceptable use
You agree to use the Service lawfully and not to: attempt to access, interfere with, or disrupt the Service or its security; access data belonging to other organizations; overload, probe, or abuse the infrastructure; circumvent or exceed plan quotas through abuse; or use the Service to store or transmit unlawful, infringing, or harmful content.
We may investigate suspected violations and may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to the Service, other users, or third parties.
5. Your content and memory
You retain all rights to the content and memory data you and your agents submit to the Service (“Customer Content”). You grant us a worldwide, non-exclusive license to host, store, process, and transmit Customer Content solely to provide and improve the Service for you.
You are responsible for your Customer Content and for ensuring you have the rights necessary to submit it. Memory and other output generated with the help of AI may be inaccurate or incomplete; you are responsible for reviewing and verifying it before relying on it.
6. Model keys and third-party services
You may connect your own OpenAI API key. Your use of OpenAI and any other third-party service is governed by that provider’s terms, and you are responsible for any fees they charge. We are not responsible for third-party services and disclaim liability for their availability, content, or actions.
7. Plans, billing, and payment
Purchases are sold and processed by Paddle, which acts as the merchant of record. Paddle’s buyer terms apply to your purchase in addition to these Terms. You select paid plans from inside the app after signup.
Builder is offered monthly or annually; Scale is a monthly base fee plus metered usage beyond the included amounts; Enterprise is a custom contract. Members are unlimited on paid plans — we bill memory and agent usage, not seats. Fees are stated exclusive of taxes, which Paddle calculates and collects where applicable.
Subscriptions renew automatically for successive periods at the then-current price until cancelled, and you authorize recurring charges. Usage and overage charges are billed in arrears for the resources you consume. We may change prices or plan allowances on a prospective basis with reasonable notice.
8. Refunds and cancellation
You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Except as set out in our Refund Policy or as required by non-waivable law, all fees are non-refundable. Please review the Refund Policy for full details.
9. Free plan and beta features
The free Solo plan and any features labeled beta, preview, or experimental are provided “as is,” may change or be limited or discontinued at any time, and may have lower availability. We are not liable for any loss arising from your use of free or beta features.
10. Intellectual property
We and our licensors own the Service, including its software, design, and trademarks, except for the open-source agentwiki engine, which is licensed under its own open-source license, and except for your Customer Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service. You may not copy, modify, resell, or create derivative works of the proprietary parts of the Service except as expressly permitted.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT MEMORY OR OTHER OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STORED AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100. THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
13. Indemnification
You will defend, indemnify, and hold harmless stored and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
14. Suspension and termination
We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, fail to pay fees when due, create legal or security risk, or abuse the Service. You may stop using the Service and close your account at any time.
On termination, your right to use the Service ceases and we may delete your data as described in the Privacy Policy. Provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive termination.
15. Changes to these terms
We may modify these Terms from time to time. When changes are material, we will update the effective date above and, where appropriate, notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
16. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which stored is established, without regard to its conflict-of-laws rules, and excluding the U.N. Convention on Contracts for the International Sale of Goods. Your purchase transaction is additionally subject to Paddle’s buyer terms. Before bringing any formal dispute, you agree to first contact us at legal@stored.to so we can try to resolve it informally. Nothing in this section deprives you of the protection of mandatory consumer laws of your country of residence.
